Rules for Use of Services

These Rules cover the terms and conditions as they relate to the services provided by Koganei Corporation (hereinafter referred to as Koganei) in various Koganei information contents including Koganei's sales site on the Internet named Webshop (hereinafter referred to as KOG Services).
These Rules shall be applicable to any and all transactions carried out by a customer on the occasion of or through his/her use of KOG Services.
The customer shall comply with all or any part of these Rules.
These Rules shall be applicable from June 2002.
Koganei shall be entitled to change or revise these Rules without the prior consent of customers, and any change made by Koganei shall be effective upon Koganei's uploading of the changed or revised Rules onto the Web Site of KOG Services on the Internet.

1.Control of Member ID and Password
1-1.  In order to use all of KOG Services, a customer shall complete the registration of membership following the procedure prescribed by Koganei.
1-2.  Koganei will set up a prescribed Member ID for each customer who applies for registration of membership and effect the registration of membership together with his/her arbitrary Password inputted at the time of application for registration of membership. The customer will be advised of Member ID and arbitrary Password via e-mail after the completion of the registration of membership.
1-3.  The customer may alter his/her arbitrary Password at his/her discretion after having received the Member ID and arbitrary Password via e-mail.
1-4.  The customer is responsible for controlling his/her Member ID and Password.
1-5.  The customer shall not allow a third party to use or lend, assign, transfer, sell or give as security his/her Member ID and Password (hereinafter referred to as "ID, etc.") to or for the benefit of a third party.
1-6.  Where the customer is aware of the fact that the ID, etc. have been stolen or used by a third party, the Member shall immediately inform Koganei of this situation.
1-7.  Koganei shall not be responsible for any damage caused by an erroneous use of ID, etc. or unauthorized use thereof as specified in the preceding Paragraph, or a leakage or theft thereof, or similar.

2. Method of ordering a commodity
2-1.  The customer may apply to purchase a commodity by entering the necessary items in accordance with the prescribed ordering procedure on Webshop and transmitting the order to Koganei.
Koganei will also accept an application for purchasing sent by facsimile (hereinafter referred to as FAX) (such application shall be hereinafter referred to as FAX Order). In such cases, the customer is requested to enter the necessary items into the prescribed FAX Inquiry Sheet and send it to the FAX number designated by Koganei.
2-2.  The customer shall complete the prescribed ordering procedure after having confirmed the form of the order, quantity, price, delivery date and other data on the window for ordering on Webshop.
To a customer who placed an order by FAX Order, Koganei will transmit a FAX Quotation after receiving the FAX Inquiry Sheet. After receiving the FAX Quotation, the customer is requested to transmit the Purchase Order Sheet to the FAX number designated by Koganei after having confirmed the order form, quantity, price, delivery date and other data, and complete the prescribed procedure for order of the commodity.

3. Time of completion of contract for sale, etc.
A contract for sale, etc. shall be deemed to have been completed at the time when Koganei's e-mail confirming the order has reached the customer's mail server or when Koganei's order confirmation FAX has reached the customer's facsimile device after the customer applied for purchase using Webshop or the FAX Order and Koganei approved the relevant application for purchasing.

4. Revocation of application for purchase of commodity
Since Koganei will undertake to ship an ordered commodity promptly after the completion of contract for sale with a customer, any revocation or change in all or part of the order or request for the reimbursement for such revocation or change is not acceptable in principle. Please note in advance that whether a revocation or change or request for the reimbursement for a revocation or change will be met or not shall be determined at Koganei's discretion.
Koganei shall deem an application for purchasing made on Webshop or by FAX Order using the relevant customer's Member ID, etc. an effective declaration of intention to buy by the customer, and any and all obligations arising from such application shall be borne by the customer.

5. Delivery charge
The prices posted on Webshop do not include any delivery charge. The delivery charge and miscellaneous expenses shall be debited from the customer's registered bank account by the carrying company selected at the time of purchasing the commodity.

6. Method of payment for commodity, etc.
The payment shall be made by either of the following methods. However, please note in advance that the method of payment may be restricted by Koganei depending on the type of commodity purchased or other factors.
6-1.  Bank transfer (advance payment)
  6-1-1.  Koganei will effect the shipment of a commodity after Koganei has confirmed that the payment has been made by the relevant customer by remittance of the amount payable to the bank account designated in the quotation sent subsequent to the customer's initial order.
  6-1-2.  The bank transfer fee and other necessary expenses shall be borne by the customer. (The amount payable does not include any bank transfer fee.)
  6-1-3.  The remittance shall be made within 7 (seven) days after the customer's purchase order sheet has reached Koganei's facsimile device in principle. Any order for which the payment is not made within the 7 days' period shall be deemed to have been revoked.
  6-1-4.  Koganei shall not issue a receipt for any payment made by bank transfer. The bank transfer statement issued by the bank at the time of remittance shall substitute for Koganei's receipt.
6-2.  Credit cards
  6-2-1.  Koganei shall accept VISA, MASTER, AMERICAN EXPRESS, or JCB CARD only.
  6-2-2.  For a payment by credit card, Koganei has adopted the ZEUS credit card system.

  6-2-3.  Koganei does not control any information on credit cards or other information inputted on the ZEUS credit card system.
  6-2-4.  In the event that a settlement by a customer is not approved on the ZEUS credit card system, the customer shall be unable to use the relevant credit card and will be requested to use another method of payment.
  6-2-5.  Please note in advance that at the time when a settlement by a customer is approved on the ZEUS credit card system, the customer's credit limit shall be reduced by the amount of the purchase.
  6-2-6.  Koganei shall not issue a receipt for any payment made by credit card. The invoice sent to the customer by the credit card company shall substitute for Koganei's receipt.
  6-2-7.  customer who places an order by FAX Order is not permitted to make payment by credit card, and is therefore requested to use another method of payment.

7. Delivery of commodity
7-1.  Please note in advance that the actual number of days required for the delivery will vary depending on the commodity ordered, time of order and receiver's country.
7-2.  Please note in advance in the event that there is any flaw or error in the details or items entered by a customer at the time of application for purchasing, or in the event that Koganei is unable to perform the normal procedures for the acceptance of an application for purchasing due to communication conditions or inventory situations, the shipment may not be sent as scheduled due to such reasons as flight conditions, customs clearance situations, holidays, Saturdays or Sundays, national holidays, and year-end and new year holidays.

8. Delivery of the property right in commodity
8-1.  The delivery of the property right in a commodity shall be deemed to have been completed at the time when the commodity has been sent to the receiver's address designated at the time of the application for purchasing.
8-2.  The property right in a commodity shall be deemed to have been transferred from Koganei to a customer at the time when the customer has completed the payment for the relevant commodity.
8-3.  Please note in advance in the event that a customer fails to accept the receipt of a commodity for which the customer made an application for purchasing, or in the event that a commodity is not deliverable to the address designated by a customer for a reason that is the customer's responsibility, Koganei will take custody of the commodity for up to 7 days. In such cases, Koganei may request that the customer pay a custody fee.
In the event that a customer does not agree to accept the receipt of the relevant commodity within the period of the custody, the customer shall be deemed to have revoked the application for purchasing, and a penalty less than or up an amount equivalent to the price of the commodity may be charged to the customer.
8-4.  In the event that a commodity needs to be redelivered for a reason that is the customer's responsibility (an error in the receiver's address or similar), Koganei may request that the customer pay an additional amount for redelivery.

9. Indemnification
9-1.  If any damage is incurred by a customer due to any default of an obligation of Koganei regarding a contract with the customer, Koganei will not assume responsibility for any amount exceeding the price of the commodity unless such damage is caused intentionally or gross negligence of Koganei.
9-2.  In the event that the delivery of a commodity is delayed or impossible due to an act of God, enforcement or amendment or abolition of any applicable law, disposition based on the exercise of the public powers, accident of transportation facilities, labor dispute or any other event beyond control of Koganei, Koganei will promptly inform the relevant customer of the event provided that Koganei shall not assume responsibility for any damage cause by such event.

10.Return or replacement
10-1.  When a customer receives a commodity, the customer is requested to make sure that it is exactly what he/she ordered.
Due to the nature of the commodity, return or replacement of the commodity for the customer's personal reasons is not acceptable in principle. Whether a requested return or replacement is acceptable or not shall be determined at Koganei's discretion. Please note in advance that the re-packing, delivery and other expenses for any return or replacement carried out for the customer's personal reasons shall be borne by the customer.
10-2.  Koganei will take all due care in delivering commodities. However, in the event that a commodity or quantity of the commodity a customer receives is different from what he/she ordered, or is damaged or defaced prior to the delivery, or has any defect, the customer is requested to notify the Koganei Web Center (PHONE: 81-42-383-7271; e-mail: webasking@koganei.co.jp) within 7 (seven) days of the receipt of the commodity. Koganei will replace or reimburse the cost of the commodity at its own expense.

11. Change in content, discontinuation or suspension of KOG Services
Koganei may change, discontinue or suspend the content of KOG Services without prior notice to customers. A change, discontinuation or suspension shall be effective from the time when Koganei posts the details of such change, discontinuation or suspension on Koganei's Web Site (hereinafter referred to as this Site). Koganei shall not assume responsibility for any damage incurred by a customer caused by such change, discontinuation or suspension.

12. Temporary suspension of KOG Services
Koganei may temporarily suspend KOG Services without prior notice to customers, when an event which falls under any of the following situations occurs:
12-1.  When maintenance and checkup or updating of the Webshop system is implemented regularly or in an emergency;
12-2.  When the operation of Webshop is difficult due to force majeur such as act of God, fire or power failure; or
12-3.  When the necessity to temporarily suspend KOG Services due to any other unavoidable operational or technical circumstance arises.

13. Revocation of membership
13-1.  Koganei may revoke the membership of Member without prior notice in the event that the relevant Member falls under any of the following situations:
  13-1-1.  When Member has delayed or failed to make payment for his/her purchase and does not pay for the same despite Koganei's notice allowing a grace period of reasonable length;
  13-1-2.  When a protective disposition, compulsory execution or forced sale is alleged against Member, or when Member declares or is declared bankrupt, or is subjected to or undergoes corporate rehabilitation, corporate consolidation, special liquidation or any other legal liquidation, or when Member is penalized for delinquency in payment of tax and public charge;
  13-1-3.  When Member violates any part of these Rules;
13-2.  In the event that Koganei has revoked the membership of a Member, the Member shall lose his or her right not to pay before due date with regard to any or all his or her debts which have arisen from the use of KOG Services and pay promptly the full amount of its debts to Koganei. In the event that Koganei incurs any costs with regard to the recovery of any credit, the Member shall bear such costs.

14. Change in the items registered for membership
14-1.  In the event that any change arises in the name of the company, address, telephone/FAX number, e-mail address or other data which was registered by a customer at the time of the procedure of the application for registration, the customer shall promptly follow the necessary procedure for change in the registered details.
14-2.  In the event that a customer fails to follow the procedure for making changes, Koganei shall not be responsible for any contingency such as a delay in the delivery of the commodity caused by the failure.
In the event that a commodity is redelivered to an address as directed by a customer after having been delivered to the address originally registered by the customer, the customer shall be required to bear the cost of redelivery.

15. Use of cookies
Part of this Site contains some pages for which cookies are used in order to enable our customers to use this Site more conveniently. Please note in advance that if a customer has changed the setting for use of cookies with the browser and refused to use cookies, he/she may not be able to use all or part of the services.

It is possible to have information related to users, the date and time of the last visit to the site and number of visits to the site kept recorded in a cookie. Cookies are used for the purpose of identifying users and are utilized as one form of technology for certification systems and personalization systems and to customize services through www for each user.

16. Prohibited acts
In using KOG Services, the customer shall not commit an act which falls under any of the following categories:
16-1.  Supply or enter any false information when applying for registration as a member;
16-2.  Pose as another person when transmitting or entering any information;
16-3.  Alter any of information on this Site;
16-4.  Transmit any harmful computer program or similar onto this Site;
16-5.  Infringe any copyright or intellectual property right exposed on this Site;
16-6.  Unauthorized invasion of the computer system on the premises of Koganei; or
16-7.  Any other act which Koganei deems to be inappropriate.
16-8.  The customer may not disclose to another corporation or copy, transmit, alter, compile or otherwise perpetrate any other act in relation to information which is obtainable from this Site.

17. Notice for handling commodity
The customer is requested to read the Notice for the safe use indicated on the commodity or its package or in the catalog or instructions of the commodity in advance of the use of the commodity and strictly observe the information provided in the notice.

18. Competent court
The competent court for the first hearing of any and all disputes related to these Rules shall be the court in the district in which the headquarters of Koganei is located.

19. Applicable law
With regard to such matters as completion, effects, performance and construction of the contract for sale between Koganei and its customers, the laws of Japan shall apply.

20. Revision of Rules for Use of Services
A customer shall be deemed to have approved of a revision of these Rules when the details of such revision are posted on this Site unless specifically provided for otherwise in these Rules.
